Will Indigo Books and Music expand outside Canada?

During the annual meeting of the bookstore company, CEO Heather Reisman said 'the new Indigo will be a global company.'

Indigo CEO and founder Heather Reisman stated that ?our intention is that the new Indigo will be a global company? during the annual meeting of the company, according to the Globe and Mail. She declined to elaborate on where new stores might open.

She predicted that the expansion wouldn?t be happening for two years or so.

Indigo Books and Music (also known as? ?!ndigo?), is often described as the country?s leading bookseller and has gone through other changes recently, with stores selling items such as toys and home goods in an effort to appeal to more consumers. Their lines include Indigo Home, Indigo Tech, and Indigo Kids. The company will also increase sales of Apple products such as the iPad in its stores next year. (Currently only the company's Toronto store has an Apple section.) Reisman called the revamping of the stores ?a fundamental transformation.?

?The new physical format store will feel like you can meander through a series of shops, each one anchored by books,? Reisman said of the stores? multiple product lines.?

However, the CEO said books will remain Indigo?s priority.

?Books will remain at the heart and soul of this company, and as long as there are people on the planet who want to buy physical books, we are deeply committed to physical books, both in store and online,? Reisman said.

She stated that sales of merchandise that isn?t books increased during 2013 from 12 percent of the company?s sales to 22 percent.

Indigo had a loss of $8.2 million for the past quarter. For the same period, American bookstore chain Barnes & Noble reported a $118.6 loss.

Indigo was founded in 1996 and acquired the bookstore chain Chapters in 2001. Kobo Inc., the company which creates e-readers that are sold by many indie bookstores, was a division of Indigo Books until the subsidiary was sold to the Japanese company Rakuten in 2011.

Atheists unveil monument by Ten Commandments

STARKE, Fla. (AP) ? A monument to atheism now sits near a granite slab that lists the Ten Commandments outside a courthouse in a conservative north Florida town.

The New Jersey-based group American Atheists unveiled the 1,500-bound granite bench Saturday as a counter to the religious monument in what's called a free speech zone.

Group leaders say they believe it's the first such atheist monument on government property.

About 200 people attended the event. Most were atheists, but a few protesters attended as well, including a group with signs that said, "Yankees Go Home."

The atheists sued to try to have the Ten Commandments removed but dropped the case when they were told they could have a similar monument.

The Recreation and Parks Department and its partner youth athletic associations open registration for fall sports July 9.

Today might be a far cry from a fall day, but it is almost time to start thinking about fall youth lacrosse and soccer in Alpharetta and Milton. The Alpharetta Recreation and Parks Department has announced priority regisration for Alpharetta residents and "returning" City of Milton participants will begin Tuesday, Juy 9.

Registration for all Milton residents begins Tuesday, July 16. Open Registration begins Tuesday, July 23. Ages and fees vary for these programs.

There are several ways for customers to register.

  • Download an Activity Registration Form at www.alpharetta.ga.us and fax, scan/email, mail, or drop off the form with payment information to any Recreation and Parks.

Debt Relief Network

This is a legal wrestling match with creditors that uses basic contract law principles. When creditors lend credit card money, the contract includes an offer to lend money, the terms for using the money and an implied acceptance by the use of the card. These same three factors are about to be used against the lender; so when the client gets his next set of credit card statements, the minimum payment plus the forty three dollars and the bill is sent to the debt relief network. When the network passes along this minimum payment, deliberately late, included is a statement that says that on the cashing of the 2% check the new minimum payment is ten dollars a month and that no interest, no late fees and no negative reports on credit histories can be assigned to the consumer. It also says that the network will assume responsibility for all the debts and the cashing of the minimum payment check is acceptance of the new agreement. In addition, the cashing of the check also means acceptance that any late payment fees or any other demands will result in penalties to them of between five hundred and twenty five hundred dollars. With the forty three dollars, the debt relief network will continue to send about four months of ten dollar payments for that particular account.

Of course it's not hard to see the gigantic collision that's about to happen. Instead of agreeing to the contract, which the lenders always legally do by cashing the 2% check, they begin violating the terms by adding interest and tacking on late fees. Each lender occurrence of violating the agreement is costing the lender big penalties. The debt relief network will pay the debt at ten dollars a month for as long as the lender follows the agreement, but they never do. Within months the credit card company owes more in penalties than what it was owed on the original account. Then the network asks for relief of the debt or it will go after the lender for the penalties. God reminds us that there is an awful for our sin when the bible declares, "The wages of sin is death but the gift of God is eternal life through Jesus Christ our Lord." (Romans 6:23)

It a lot of ways, the debt relief network plan is genius. And when it comes to getting back at lenders who have practiced high powered usury for years, a person wants to stand up and cheer. The incredible toll that year after year of debt can exact on individuals is staggering, including violence, health issues and divorce. But there are dilemmas for those who see this strategy as an unbiblical abandonment of responsibilities. Much of the discussion comes down to whether a person should be subjected to ungodly and anti-scriptural usury. The Old Testament would appear to limit the lender to no more than seven years of a business relationship with a borrower and the interest had to be fair and not punitive. If anyone would say with authority that this plan is right or wrong, the authority would have to come into question, for the quandary may be more about self-inflicted guilt than a definitive biblical answer.

The debt relief network does have some caveats to share with their potential customers. First, creditors may shower the former owner of the accounts with bill collectors. The network says it can get those stopped. The network also warns that the credit report will take a nose dive, a direct violation of the agreement that the creditor made with the relief agency. When the final agreement is reached between network and who are now their creditors, the erasure of all negative remarks and their effects will be completed.

Whether the decision is to use this debt relief network plan or to use credit counseling which is another possible abandoning of obligations, or to work three jobs to pare down the principle, each one has negative drawbacks. With recent days being filled with news of possible depression-like conditions on the horizon, the possibility of greed and power finally being addressed may become a reality. But the fact remains that those who have great riches will always have usurped power over the not so rich. If a person sees this strategy as the chance for the little guy to strike a blow for the whole gang, take time to really investigate the plan. Look for critics, search for legal loopholes and pray for guidance on this most interesting option for credit elimination.

Florida man accused of killing and cooking family dog

A 25-year-old Florida man was arrested and charged with animal cruelty on Thursday for allegedly killing his family?s dog, then cooking it and eating it.

The Tampa Tribune reported on Friday that authorities picked up Thomas Huggins after being alerted by his his mother, Margie Huggins, that she had found the dog?s ribs inside a pot. She later showed officers more of the dog?s remains in the freezer, along with the dog?s head and innards, which were in a trash can.

Thomas Huggins told authorities he choked the dog to death Thursday morning after it behaved aggressively toward him, then skinned and gutted it and stored the remains to eat later. Huggins? sister, Monica Huggins, told police that in recent years he said ?the Lord? had issued certain commands to him.

A neighbor, Frances Morris, told WTVT-TV she saw the suspect behaving strangely while talking to police.

?They were asking him what was going on through his mind,? Morris explained to the station. ?He just stood up there and smiled at the police.?

Margie Huggins said her son failed to graduate from college in Oklahoma before moving back in with her, and that they both suffered from mental illnesses.

?I don?t understand it. I?ve never been violent like that,? she said to the Tribune. ?I grew up in the church, in fear of Jesus Christ and the wrath that will be put on you. He doesn?t feel that.?

Thomas Huggins was held on $2,000 bail in Hillsborough County jail.

Lithium reduces risk of suicide in people with mood disorders, review finds

June 27, 2013 ? The drug lithium is an effective treatment for reducing the risk of suicide and possibly deliberate self harm in people with mood disorders, finds an evidence review published today on bmj.com.

The authors say the drug "seems to reduce the risk of death and suicide by more than 60% compared with placebo" and suggest this review "reinforces lithium as an effective agent to reduce the risk of suicide in people with mood disorders."

Mood disorders are a leading cause of global disability. The two main types are unipolar disorder (often called clinical depression) and bipolar disorder (often called manic depression). Both are serious, long term conditions involving extreme mood swings, but people with bipolar depression also experience episodes of mania or hypomania.

People with a mood disorder have a 30 times greater risk of suicide than the general population. Treatment with mood stabilising drugs like lithium, anticonvulsants or antipsychotics can help keep mood within normal limits, but their role in suicide prevention is still uncertain.

So a team of researchers from the universities of Oxford, UK and Verona, Italy set out to assess whether lithium has a specific preventive effect for suicide and self harm in people with unipolar and bipolar mood disorders.

They reviewed and analysed the results of 48 randomised controlled trials involving 6,674 participants. The trials compared lithium with either placebo or active drugs in long term treatment for mood disorders.

Lithium was more effective than placebo in reducing the number of suicides and deaths from any cause, but no clear benefits were seen for lithium compared with placebo in preventing deliberate self harm.

When lithium was compared with each active individual treatment, a statistically significant difference was found only with carbamazepine for deliberate self harm. Overall, lithium tended to be generally better than the other active treatments, with small statistical variation between the results.

"This updated systematic review reinforces lithium as an effective agent to reduce the risk of suicide in people with mood disorders," say the authors.

They suggest that lithium may exert its anti-suicidal effects "by reducing relapse of mood disorder," but add "there is some evidence that lithium decreases aggression and possibly impulsivity, which might be another mechanism mediating the anti-suicidal effect."

They acknowledge that lithium has several side effects, but say clinicians "need to take a balanced view of the likely benefits and harm of lithium in the individual patient." And they conclude: "Understanding the mechanism by which lithium acts to decrease suicidal behaviour could lead to a better understanding of the neurobiology of suicide."

MARRAKESH, Morocco, June 28, 2013 (AFP)

A long-awaited international treaty linked to copyright law which is expected to boost hundreds of millions of blind or visually impaired people?s access to books was signed in the Moroccan city of Marrakesh on Friday.

After more than a week of intense debate, the 800 delegates from the World Intellectual Property Organisation?s (WIPO) 186 member countries reached a compromise on facilitating the transcription of published works in special formats such as Braille and their cross-border exchange.

WIPO director general Franci Gurry said the treaty, the culmination of years of negotiations, ?makes universal for the first time an exception? in favour of the blind and visually impaired.

International law, as stipulated in the Berne Convention for the Protection of Literary and Artistic Works, currently requires that permission be obtained from authors, and royalties paid, for copyrighted works.

?It is a historic treaty that will lead to real benefits for the visually impaired,? Gurry said.

There are an estimated 314 million visually impaired people worldwide, 90 percent of whom live in developing countries.

But only five percent of the million-odd books published each year appear in formats accessible to them.

?The basic problem is that there are not enough books, due to an insufficient market? (but also) the tangle of national regulations,? which makes international exchange of special format books very difficult, Gurry said.

?It?s the system of exchange created by the treaty that will make the difference. A blind person in Senegal or Morocco could directly request copies from an association in France for example.?

Adopted unanimously on Thursday, the Marrakesh treaty was signed on Friday morning in the presence of soul music legend Stevie Wonder, who had promised to perform in the event of an accord being reached.

Gurry described the outcome of the negotiations as ?a pleasant surprise.?

?It was tough especially because of the indirect interests of the publishers, in the world of cinema and music, who feared a breach of copyright law to the detriment of the author,? he said.

Morocco?s Communications Minister Mustapha Khalfi said of the treaty that there were ?no winners and no losers, this is a treaty for everyone.?

South African archbishop prays for Mandela

JOHANNESBURG (AP) ? A South African archbishop who visited Nelson Mandela in a hospital has offered a prayer in which he wishes for a "peaceful, perfect, end" for the former president and anti-apartheid leader.

There was no word early Wednesday on 94-year-old Mandela's condition, which was critical a day earlier, according to the government. Outside the Pretoria hospital where he was being treated, well-wishers have left flowers, drawings and messages of support for a man regarded as a symbol of sacrifice and reconciliation in a country that emerged from white minority rule to become a democracy two decades ago.

"Let's accept instead of crying," said Lucas Aedwaba, a security officer who described Mandela as a hero. "Let's celebrate that the old man lived and left his legacy."

Thabo Makgoba, the Anglican archbishop of Cape Town, posted a prayer on Facebook on Tuesday night after visiting the hospital where Mandela is being treated.

In the prayer, Makgoba asked for courage to be granted to Mandela's wife, Graca Machel, and others who love him "at this hard time of watching and waiting," and he appealed for divine help for the medical team treating Mandela, who was taken to the hospital on June 8 with what the government said was a lung infection. President Jacob Zuma said Mandela's condition, previously described as serious but stable, had deteriorated to critical over the weekend.

"May your blessing rest upon Madiba now and always," Makgoba said in the prayer, using Mandela's clan name. "Grant him, we pray, a quiet night and a peaceful, perfect, end."

He wished that Mandela would be granted relief from pain and suffering, and also said: "Uphold all of us with your steadfast love so that we may be filled with gratitude for all the good that he has done for us and for our nation, and may honor his legacy through our lives."

On Tuesday, members of Mandela's family and tribal elders gathered in Qunu, his rural hometown in eastern South Africa. No details on what was discussed in the meeting were announced. Those at the gathering included Mandela's grandsons Mandla and Ndaba Mandela, according to South Africa media.

Mandela spent 27 years in prison during white racist rule and became South Africa's first black president in all-race elections in 1994, playing an indispensable role in steering the country through a tense transition that many feared would deteriorate into widespread bloodshed. After his presidency, he focused his work on charitable causes, but withdrew from public life years ago and became increasingly frail in recent years.

He last made a public appearance in 2010 at the World Cup soccer tournament, which was hosted by South Africa. At that time, he did not speak to the crowd and was bundled against the cold in a stadium full of fans.

Dan Lehman, an American academic, chose a jogging route on Wednesday morning that passed by the hospital where Mandela is being treated.

"I was just going out for my morning run down here and come to pay my respects to the greatest man in the world," Lehman said. Then he began to cry.

CNN bringing 'Crossfire' back on the air

(AP) ? CNN is bringing its political show "Crossfire" back on the air this fall with Newt Gingrich as one of the combatants.

The original political talk show on cable news aired on CNN from 1982 until 2005. The new version will air on weekdays, although CNN said Wednesday that the show has no time slot yet.

Gingrich, the former House speaker and presidential candidate, is one of two hosts "from the right" matched against two liberal voices. Conservative commentator S. E. Cupp, who also works at The Blaze, is Gingrich's conservative partner.

Stephanie Cutter, who is a former campaign spokeswoman for President Barack Obama, will be speaking "from the left." She'll be joined by Van Jones, an advocate for green projects.

Clashes in Egypt as Mursi readies speech

CAIRO (Reuters) - Two people were killed and dozens injured in street fighting on Wednesday north of Cairo between supporters and opponents of Egypt's Islamist president, hours before Mohamed Mursi was to address the nation.

With Egypt gripped by fears of a showdown between Islamists and their opponents, security sources said 90 people wounded in the city of Mansoura after hundreds of men were involved in rock-throwing street skirmishes. Witnesses also heard gunfire.

There was also fighting in the nearby Nile Delta city of Tanta, though casualties appeared to have been less severe.

Similar outbursts of violence, often prompted by one side or the other staging rallies, have hit towns across the country in recent days. At least two men died last weekend. The opposition plans mass protests this weekend, calling for Mursi to resign.

He shows no sign of doing that and is expected to blame the deadlock that has aggravated an economic crisis on resistance from those loyal to his ousted predecessor Hosni Mubarak.

The army has warned politicians it could effectively take charge again if they fail to reconcile. Some in the anti-Mursi camp might welcome that, but Islamists say they would fight any "coup" against Egypt's first freely elected leader.

Fears of a violent stand-off in the streets between Mursi's Islamist supporters and a broad coalition of the disaffected have led people to stock up on food. Long lines of cars outside fuel stations have snarled roads in Cairo and other cities.

The army and police are preparing to contain any trouble, adding men and barriers around important public buildings. The government promises to allow peaceful protests but many fear that, with huge crowds, any trouble could spin out of control.

Mursi, who marks his first year in office on Sunday, has given no hint of the contents of what aides called an "important speech". It is due to start around 9:30 p.m. (3:30 p.m. EDT) at a Cairo hall before an invited audience. Some speculate he may reshuffle his cabinet to try to defuse the anger against him.

Some observers fear Egypt may be about to erupt again, two years after the revolution that toppled Mubarak. Politics are polarized between Mursi's disciplined Muslim Brotherhood and disparate opponents who have lost a series of elections.

The deadlock has contributed to a deepening economic crisis and the government is running out of cash.

Washington has urge Mursi to bring the opposition into the political process and to press ahead with economic reforms.

Liberal critics worry about Islamist rule - a coalition of local human rights groups accused Mursi's Muslim Brotherhood on Wednesday of crimes rivaling Mubarak's and of setting up a "religious, totalitarian state". But many Egyptians are simply frustrated by falling living standards and fear chaos.

Lining up at a bank machine in downtown Cairo, IT trainer Amgad al-Fishawi, 40, said he feared cash could be hard to find in the coming days and echoed the resignation felt by many at the deadlock: "Mursi won't promise too much," he said. "Nobody's paying attention. The people don't expect anything from him."

ARMY ALERT

The army is held in high regard by Egyptians, especially since it pushed aside Mubarak following the 2011 uprising. Its chief issued a warning on Sunday, urging compromise while also defending the legitimacy of Mursi's election.

One senior Western diplomat in Cairo said the army might try to impose a solution, especially if the political deadlock turns violent: "The margin for a political solution is definitely very narrow," he said. "If (violence) crosses a certain threshold, the role of the army might become by default more proactive."

Islamists, oppressed for decades, fear a return of military rule and hardliners warn of a fight if the generals intervene. They accuse Mubarak-era institutions, including courts, state media, police and civil service, of working to undermine Mursi.

An officer in one of Egypt's internal security agencies told Reuters this week that the country needed to be "cleansed" of the Islamists who he described as terrorists. He said that the protest rallies could be the trigger for change.

The army, still heavily funded by Washington as it was under Mubarak, and Western governments have been urging Mursi to bridge differences with his non-Islamist opponents. He says he has tried. They say he and his Muslim Brotherhood, along with harder line allies, are trying to monopolize the state.

Mursi says a petition demanding he quit - which liberal organizers say has 15 million signatures - is undemocratic. In that, he has support from Islamists, who have staged shows of strength in recent days and plan a major Cairo rally on Friday.

Nationwide opposition rallies, are due to start on Sunday but could begin earlier.

LOW EXPECTATIONS

"This demonstration is spontaneous and comes from the Egyptian people. We hope that it will bring the government ultimately to a place where the reforms are effected and choices that need to be made about the economy are implemented," U.S. Secretary of State John Kerry said on Tuesday in Saudi Arabia.

"We will obviously hope that it will not produce violence and be a moment of catalyzing positive change for Egypt itself."

The opposition have low expectations of the speech which Mursi appears to be planning to make before a partisan crowd. Liberal activists plan to watch it on a screen in Cairo's Tahrir Square, where the revolt against Mubarak began in January 2011.

Liberal coalition spokesman Khaled Dawoud said: "He missed several opportunities in the past to build bridges with the Egyptian people. At this point, it's too late for any possible measures, short of early elections, to stop the demonstrations."

Dawoud likened Mursi's address to speeches made by Mubarak during the revolt. The army eased him aside after 18 days and took power itself until Mursi took office on June 30 last year.

Among criticisms of Mursi, a less than charismatic speaker who became the Brotherhood's presidential candidate as a last-minute stand-in, is that he has turned for support to harder line Islamist groups, including former militants.

The lynching of five Shi'ite Muslims on Sunday revived fears among minorities, including Egypt's several million Christians, and has been used by the opposition to portray Mursi as tolerant of an extremist Sunni Muslim fringe.

Senate passage of immigration bill on track

WASHINGTON (AP) -- Senate passage of historic immigration legislation offering citizenship to millions looks near-certain after the bill cleared a key hurdle with votes to spare.

A final vote in the Senate on Thursday or Friday would send the issue to the House, where conservative Republicans in the majority oppose citizenship for anyone living in the country illegally.

Some GOP lawmakers have appealed to House Speaker John Boehner, R-Ohio, not to permit any immigration legislation to come to a vote for fear that whatever its contents, it would open the door to an unpalatable compromise with the Senate. At the same time, the House Judiciary Committee is in the midst of approving a handful of measures related to immigration, action that ordinarily is a prelude to votes in the full House.

Rep. Paul Ryan, R-Wis., said Tuesday that the Senate's advancement of stronger border security measures makes it "even more likely" that immigration reform will pass the House and become law. He said that the House won't take up the Senate bill but will do its own legislation, and added, "the majority of Republicans support the border security" as the keystone of immigration reform. He spoke on CBS' "This Morning."

"Now is the time to do it," President Barack Obama said Monday at the White House before meeting with nine business executives who support a change in immigration laws. "I hope that we can get the strongest possible vote out of the Senate so that we can then move to the House and get this done before the summer break" beginning in early August.

House Minority Leader Nancy Pelosi, D-Calif., said Tuesday she thinks it's important for the House to have its own bill and said, "Let's be optimistic about it."

Pelosi told CNN she thinks it has an excellent chance of passing there because GOP lawmakers are the party's poor showing with Hispanic voters in last year's presidential election "sends an eloquent message" to them.

Obama's prodding came several hours before the Senate voted 67-27 to advance the measure over a procedural hurdle. The tally was seven more than the 60 needed, with 15 Republicans joining Democrats in voting yes.

"I think we're building momentum," said Sen. Bob Corker, R-Tenn., who worked with Sen. John Hoeven, R-N.D., on a $38 billion package of security improvements that helped bring Republicans on board by doubling the number of border patrol agents and calling for hundreds of miles of new fencing along the border with Mexico. Those changes brought border security spending in the bill to $46 billion.

"The bill has been improved dramatically tonight by this vote, there's no question," Corker said. "My sense is we're going to pass an immigration bill out of the United States Senate which will be no doubt historic and I think something that's very, very important to this nation."

Last-minute frustration was evident among opponents. In an unusual slap at members of his own party as well as Democrats, Sen. Ted Cruz, R-Texas, said it appeared that lawmakers on both sides of the political aisle "very much want a fig leaf" on border security to justify a vote for immigration.

Senate officials said some changes were still possible to the bill before it leaves the Senate ? alterations that would swell the number of votes in favor.

At the same time, Sen. Roger Wicker, R-Miss., who voted to advance the measure during the day, said he may yet end up opposing it unless he wins changes he is seeking.

Senate Democrats were unified on the vote.

Republicans were anything but on a bill that some party leaders say offers the GOP a chance to show a more welcoming face to Hispanic voters, but which tea party-aligned lawmakers assail as amnesty for those who have violated the law.

At its core, the Senate bill would create a 13-year pathway to citizenship for an estimated 11 million immigrants living illegally in the United States.

The measure also would create a new program for temporary farm laborers to come into the country, and another for lower-skilled workers to emigrate permanently. At the same time, it calls for an expansion of an existing visa program for highly-skilled workers, a gesture to high-tech companies that rely heavily on foreigners.

In addition to border security, the measure phases in a mandatory program for employers to verify the legal status of potential workers, and calls for a separate program to track the comings and goings of foreigners at the nation's seaports and airports.

How did Epic Games get started?

ATim Sweeney [Epic Games' founder, CEO, and technical director] started the company in his basement as a shareware game developer and publisher back in 1991. I joined Epic less than a year later, while it was still being operated in his basement. Together we built the company up to where it is today and assembled an amazing group of people to make it Epic, and we continue to love every minute of it. After 22 years, Epic is flourishing, and I proudly think we're doing our best work ever at this point in time. Q

How did you get your break in the industry?

ABoth of us were self-taught computer nerds from the earliest days of personal computing. Tim was a mechanical engineering student in college when he started the company. I was out in the corporate workforce building database applications for small and large enterprises, but doing some sales and marketing too. We didn't bother with these fancy titles, but Tim was essentially CEO, executive producer, and chief of technology. I mostly concentrated on the sales and marketing aspects of the business, but I also recruited some of our top talent. Q

How did the Unreal Engine come about?

AThe Unreal Engine started as Tim Sweeney was building an editor that would enable us to build 3D games. Eventually, he built the rest of the engine around the editor so that artists and designers could easily use the tools to make incredible, alive 3D game worlds. The kicker was that we had to be able to do this with smaller teams than any of our competitors, so the tools?and the workflow around those tools?had to be really powerful and productive.

Fast-forward almost 20 years, and today Unreal Engine technology is even more tools-and workflow-focused than ever before, which is why so many companies have licensed it to create so many amazing products.

Q

At what point did you decide to license the Unreal Engine to other game developers?

AThe first decision was really about making the tools easy enough so that our players could pick them up and mod our game, the original Unreal, so we always tried to make tools that were polished. When other companies saw what we were doing with the tools, they asked if they could license them, and this is what launched the Unreal Engine licensing business. Q

Since the Unreal Engine was first launched, how many games have been made that use its technology?

AYour guess is as good as mine. Let's say lots. In November 2009, we released the Unreal Development Kit, the free downloadable edition of Unreal Engine 3, and to date there have been more than 2 million unique installs. So it isn't possible to know exactly how many games have been made with all the various Unreal Engine releases over the years. From what I understand, more than 300 commercial games have shipped just with Unreal Engine 3. Q

How has the Unreal Engine changed over time?

AThe first Unreal Engine focused on constructive solid geometry for building game levels, and all the rendering was carried out through CPU (Central Processing Unit) instructions. Unreal Engine 2 targeted new GPUs (Graphics Processing Units), which eventually took 3D graphics mainstream.

With Unreal Engine 3, we really hit our stride with our engine team working in parallel with our games teams. That effort brought the feature-rich nature of the toolset to a new level, and as part of that evolution, our artists and designers began to outnumber programmers on our teams. In addition, we were able to achieve incredibly beautiful graphics with the arrival of programmable shaders, plus we overhauled multiple Unreal Engine systems to accommodate the Xbox 360 and PlayStation 3. This ushered in a new wave of quality and creativity in our games, as well as those of our licensees, and this carried over to game-development budgets as well.

Q

What kinds of games will we see run on the Unreal Engine 4?

ALike with Unreal Engine 3, you're going to see all kinds of games built using Unreal Engine 4. In fact, I would wager you're going to see even more variety with Unreal Engine 4. Q

What features does the Unreal Engine 4 offer today that people may not have seen before?

AThere are a whole bunch of new technologies in Unreal Engine 4. One that stands out for me is our physically based materials and shading system, which provides tools that can be used to create ultrarealistic surfaces that look amazing and provide near-infinite surface detail. The new materials system lets artists layer paint on top of rust on top of metal, for example. Basically, you can apply almost any type of texture to an object and it looks amazing in Unreal Engine 4. Q

Outside of video and computer games, what else is powered by the Unreal Engine?

AWith Unreal Engine 3 we've seen many amazing uses outside of gaming. For example, the Michigan Department of Transportation contracted a visualization team at construction company Parsons Brinckerhoff to build a high-end driving simulator. Parsons Brinckerhoff also developed the Bay Bridge Explorer, a mobile app demonstrating new highway patterns during the reconstruction of the San Francisco-Oakland Bay Bridge.

The Virtual Heroes, a military contractor, created a very successful health-human physiology engine called HumanSim, which can be used to train emergency medical first responders. Leading architectural firm HKS created a virtual walk-through of the Dallas Cowboys' stadium for planning purposes. The WB original web series Chadam is authored with Unreal Engine 3. With the increased power and flexibility of Unreal Engine 4, I expect we'll see even more adoption outside of gaming.

IRS chief: Agency also screened liberal groups

WASHINGTON (AP) ? The Internal Revenue Service's screening of groups seeking tax-exempt status was broader and lasted longer than has been previously disclosed, the new head of the agency acknowledged Monday. Terms including "Israel," ''Progressive" and "Occupy" were used by agency workers to help pick groups for closer examination, according to an internal IRS document obtained by The Associated Press.

The IRS has been under fire since last month after admitting it targeted tea party and other conservative groups that wanted the tax-exempt designation for tough examinations. While investigators have said that agency screening for those groups had stopped in May 2012, Monday's revelations made it clear that screening for other kinds of organizations continued until earlier this month, when the agency's new chief, Danny Werfel, says he discovered it and ordered it halted.

The IRS document said an investigation into why specific terms were included was still underway. It blamed the continued use of inappropriate criteria by screeners on "a lapse in judgment" by the agency's former top officials. The document did not name the officials, but many top leaders have been replaced.

In a conference call with reporters, Werfel said that after becoming acting IRS chief last month, he discovered varied and improper terms on the lists and said screeners were still using them. He did not specify what terms were on the lists, but said he suspended the use of all such lists immediately.

"There was a wide-ranging set of categories and cases that spanned a broad spectrum" on the lists, Werfel said. He added that his aides found those lists contained "inappropriate criteria that was in use."

Werfel ordered a halt in the use of spreadsheets listing the terms ? called BOLO lists for "be on the lookout for? on June 12 and formalized their suspension with a June 20 written order, according to the IRS document the AP obtained. Investigators have previously said that the lists evolved over time as screeners found new names and phrases to help them identify groups to examine.

Democrats on the House Ways and Means Committee released one of the lists, dated November 2010, that the IRS has provided to congressional investigators. That 16-page document shows that the terms "Progressive" and "Tea Party" were both on that list, as well as "Medical Marijuana" and "Healthcare legislation."

Rep. Sander Levin of Michigan, top Democrat on the Ways and Means panel, said he was writing a letter to J. Russell George, the Treasury Department inspector general whose audit in May detailed IRS targeting of conservatives, asking why his report did not mention other groups that were targeted.

"The audit served as the basis and impetus for a wide range of congressional investigations and this new information shows that the foundation of those investigations is flawed in a fundamental way," Levin said.

George's report criticized the IRS for using "inappropriate criteria" to identify tea party and other conservative groups. It did not mention more liberal organizations, but in response to questions from lawmakers at congressional hearings, George said he had recently found other lists that raised concerns about other "political factors" he did not specify.

Democratic staff on Ways and Means said in a press release that they had verified that of the 298 groups seeking tax-exempt status that George's audit had examined, some were liberal organizations ? something George's report did not mention.

Many organizations seeking tax-exempt designation were applying for so-called 501(c)(4) status, named for its section of the federal revenue code. IRS regulations allow that status for groups mostly involved in "social welfare" and that don't engage in election campaigns for or against candidates as their "primary" activity, and it is up to the IRS to judge whether applicants meet those vaguely defined requirements.

Werfel's remarks came as he released an 83-page examination he has conducted of his embattled agency. The conclusions, which Werfel cautioned are preliminary, have so far found there was "insufficient action" by IRS managers to prevent and disclose the problem involving the screening of certain groups, but no specific clues of misconduct.

"We have not found evidence of intentional wrongdoing by anyone in the IRS or involvement in these matters by anyone outside the IRS," he told reporters.

The report found no indication so far of improper screening beyond the IRS offices, mostly in Cincinnati, that examine groups seeking tax-exempt status.

Werfel's report describes several new procedures the agency is installing to prevent unfair treatment of taxpayers in the future. They include a fast-track process for groups seeking tax-exempt status that have yet to get a response from the IRS within 120 days of applying. He is also creating an Accountability Review Board, which within 60 days is supposed to recommend any additional personnel moves "to hold accountable those responsible" for the targeting of conservative groups, a Treasury Department fact sheet on Werfel's report.

The top five people in the agency responsible for the tax-exempt status of organizations have already been removed, including the former acting commissioner, Steven Miller, whom President Barack Obama replaced with Werfel.

"The IRS is committed to correcting its mistakes, holding individuals accountable as appropriate" and establishing new controls to reduce potential future problems, Werfel told reporters.

IRS screening of conservative groups had sparked investigations by three congressional committees, the Justice Department and a Treasury Department inspector general.

Werfel's comments and report drew negative reviews from one of the IRS's chief critics in Congress, Rep. Darrell Issa, R-Calif., chairman of the House Oversight and Government Reform Committee.

Issa said the review "fails to meaningfully answer the largest outstanding questions about inappropriate inquiries and indefensible delays. As investigations by Congress and the Justice Department are still ongoing, Mr. Werfel's assertion that he has found no evidence that anyone at IRS intentionally did anything wrong can only be called premature."

House Ways and Means Committee Chairman Dave Camp, R-Mich., whose panel is also investigating the agency, said the IRS "still needs to provide clear answers to the most significant questions ? who started this practice, why was it allowed to continue for so long, and how widespread was it? This culture of political discrimination and intimidation goes far beyond basic management failure and personnel changes alone won't fix a broken IRS."

Werfel had promised to produce a report within a month of taking over the agency.

Werfel said he briefed Obama and Treasury Secretary Jacob J. Lew on the report earlier Monday.

Werfel, initially named the IRS's acting commissioner, is now the agency's deputy principal commissioner because federal law limits the time an agency can be led by an acting official.

Kyocera Coast (Boost Mobile)


Cell phones don't get much cheaper than 30 bucks without a contract, and in most instances, prices that low are a good sign to stay away. But that isn't the case with the $29.99 Kyocera Coast for Boost Mobile. It has extremely little in the way of features, but it's easy to use, with good call quality, a very nice keypad, and a large, clear external display. If all you need is an inexpensive flip phone?for calls and the occasional text, the Kyocera Coast is one of the best you can get.

Design, Call Quality, and Plan Pricing
There's nothing fancy about the Coast. It's a plain Jane flip phone that measures 3.94 by 2.05 by 0.68 inches (HWD) and weighs 3.7 ounces. It's made up of soft touch black plastic, with a textured back panel that gives it the look of a rugged phone. It isn't ruggedized, but it feels solid for its price. There's a power port and Volume buttons on the left and a 3.5mm headphone jack on the right. The Coast is also ULE-certified for having an environmentally friendly build.

The front of the phone is home to a 1.44-inch external display, which is surprisingly large. It only has 128-by-128-pixel resolution, but that's good enough to clearly see your battery life, message notifications, reception, and time. Inside, the 2.4-inch LCD bumps the resolution up to 320-by-240, which looks decent. The default font is easy to read, but there's an option to make it larger as well.

The Coast has an excellent keypad, with large, well-separated keys. They felt a little stiff at first, but I was able to quickly break them in after using the phone for just a few minutes. The navigation and selection buttons are few and intuitive, unlike some of the needlessly complicated control pads I've seen on feature phones lately. Using a number pad for texting is never ideal, but at least this one is large and features a surprisingly robust autocomplete feature. There's a threaded view for text messages, so you can read them out like a conversation, but there's no built-in email support.

The Kyocera Coast is a 3G phone with no Wi-Fi. Reception was solid, and voice quality is very good. Voices sound clear and pleasant in the phone's earpiece, though they distort some at top volume. Calls made with the phone are extremely clear, with average background noise cancellation. The speakerphone sounds a little harsh but is loud enough to hear outdoors, and calls sounded fine over a Jawbone Era?Bluetooth headset; Nuance-powered voice dialing allows you to make hands-free calls via Bluetooth or speakerphone. The removable 870mAh battery was good for a decent 5 hours and 47 minutes of talk time.

Boost offers unlimited, contract-free talk and text plans starting at $50 per month (you also get unlimited Web data). For every six months you pay your bill on time, your monthly fee reduces by $5, until you reach $35 per month. There are also daily unlimited plans for $2 a day, or you can pay as you go at $0.20 per minute or per text message.

Apps, Features, and Conclusions
You're not expecting much else from this phone, right? Good. Of course, you still get some very basic apps, like an alarm, calculator, calendar, and stopwatch, which are par for the course across all phones. There's also a few games, including Midnight Bowling 3 and Uno. And you get an extremely basic built-in Access NetFront 4.1 Web browser, which reads WAP pages. Data speeds aren't so fast, and it isn't very easy to read tiny site text on the phone's display, but if you have an unlimited plan, it's there if you need it.

There's no music or video player, so this isn't much of a multimedia device. You do get a 2-megapixel camera on the back of the phone for photos. There's only 61MB of free internal memory, and no microSD card slot; that means you can only take up to 78 pictures. But while this camera captures better images than images the VGA camera on the Samsung Factor, they're still pretty poor. Photos look washed out and hazy, especially with brighter colors, which tend to blow out quite easily. There's also no easy way to transfer photos off the phone other than sending them in a message.

But as long as you go in with realistic expectations, the Kyocera Coast is actually a very good buy. If you're looking for a simple, inexpensive phone for making calls and sending texts from time to time, the Kyocera Coast is your best bet on Boost. The Samsung Factor is another decent choice, though the Coast has a better display, a better camera, and better battery life. If you're more interested in texting, Boost has lots of solid, inexpensive keyboarded options, like the LG Rumor Reflex, the Motorola Theory, and the Sanyo Innuendo. But no other phone is less expensive or easier to the use than the Kyocera Coast.

(AP) ? Social Security is approving disability benefits at strikingly high rates for people whose claims were rejected by field offices or state agencies, according to House investigators. Compounding the situation, the agency often fails to do required follow-up reviews months or years later to make sure people are still disabled.

Claims for benefits have increased by 25 percent since 2007, pushing the fund that supports the disability program to the brink of insolvency, which could mean reduced benefits. Social Security officials say the primary driver of the increase is demographic, mainly a surge in baby boomers who are more prone to disability as they age but are not quite old enough to qualify for retirement benefits.

The disability program has been swamped by benefit claims since the recession hit a few years ago. Last year, 3.2 million people applied for Social Security Disability or Supplemental Security Income.

In addition, however, management problems "lead to misspending" and add to the financial ills of the program, investigators from the House Oversight and Government Reform Committee say.

"Federal disability claims are often paid to individuals who are not legally entitled to receive them," three senior Republicans on the House committee declared in a March 11 letter to the agency. Among the signers was the committee's chairman, Rep. Darrell Issa of California.

Social Security acknowledges a backlog of 1.3 million overdue follow-up reviews to make sure people still qualify for benefits. But agency officials blame budget cuts for the backlog, saying Congress has denied the funds needed to clear it.

Social Security spokesman Mark Hinkle said the agency follows the strict legal definition of disability when awarding benefits. In order to qualify, a person is supposed to have a disability that prevents him from working and is expected to last at least a year or result in death.

"Even with this very strict standard, there has been growth in the disability program, and the primary reason for this growth is demographics," Hinkle said. He noted that approval rates have declined as applications for benefits have increased.

The most common claimed disability was bone and muscle pain, including lower back pain, followed closely by mental disorders, according to the program's latest annual report.

"Pain cases and mental cases are extremely difficult because ? and even more so with mental cases ? there's no objective medical evidence," said Randall Frye, a Social Security administrative law judge in Charlotte, N.C. "It's all subjective."

Nearly 11 million disabled workers, spouses and children get Social Security disability benefits. That's up from 7.6 million a decade ago. The average monthly benefit for a disabled worker is $1,130.

An additional 8.3 million people get Supplemental Security Income, a separately funded disability program for low-income people.

If Congress doesn't act, the trust fund that supports Social Security disability will run out of money in 2016, according to projections by Social Security's trustees. At that point, the system will collect only enough money in payroll taxes to pay 80 percent of benefits, triggering an automatic 20 percent cut in benefits.

Congress could redirect money from Social Security's much bigger retirement program to shore up the disability program, as it did in 1994. But that would worsen the finances of the retirement program, which is facing its own long-term financial problems.

The House oversight subcommittee on entitlements is scheduled to hold the first of several hearings on the disability program Thursday. The hearing will focus on the role of administrative law judges in awarding benefits.

Most Social Security disability claims are initially processed through a network of local Social Security Administration field offices and state agencies, usually Disability Determination Services, and most are rejected. If your claim is rejected, you can ask the field office or state agency to reconsider. If your claim is rejected again, you can appeal to an administrative law judge, who is employed by Social Security.

The hearing process takes an average of a little more than a year, according to Social Security statistics. The agency estimates there are 816,000 hearings pending.

So far this budget year, the vast majority of judges have approved benefits in more than half the cases they've decided, even though they were reviewing applications that had typically been rejected twice by state agencies, according to Social Security data.

Of the 1,560 judges who have decided at least 50 cases since October, 195 judges approved benefits in at least 75 percent of their cases, according to the data, which were analyzed by congressional investigators.

"This is not one or two judges out there just going rogue and saying they are going to approve a lot of cases," said Rep. James Lankford, R-Okla., chairman of the House Oversight Subcommittee on Energy, Policy, Health Care, and Entitlements. "This is a very, very high rate" of approving claims.

The union representing administrative law judges says judges are required to decide 500 to 700 cases a year in an effort to reduce the hearings backlog. The union says the requirement is an illegal quota that leads judges to sometimes award benefits they might otherwise deny just to keep up with the flow of cases, according to a federal lawsuit filed by the judges' union in April.

"I wouldn't want to suggest publicly that judges are not following the law or the regulations," said Frye, the North Carolina law judge who also is president of the Association of Administrative Law Judges , But, he added, "Would you want your surgeon to be on a quota system, to have to do so many surgeries every morning? Mistakes are going to be made when you force that kind of system on professional folks whose judgment, skill and experience are critical to coming to a good result."

The agency denies there is a case quota for judges, saying the standard is a productivity goal. The agency has declined to comment on the lawsuit. Former Social Security Commissioner Michael Astrue said he set the goal in 2007 to help reduce the hearings backlog.

Once people get benefits, their cases are supposed to be reviewed periodically to make sure they are still disabled. The reviews are called continuing disability reviews, or CDRs.

For people whose disabilities are expected to improve, CDRs should be done in six to 18 months, according a 2010 report by the agency's inspector general. If improvement is possible ? but not necessarily likely ? reviews should be done every three years. People with disabilities believed to be permanent should get reviews every five to seven years.

At the end of 1996, there was a backlog of 4.3 million overdue reviews. In response, Congress authorized about $4 billion to fund a seven-year effort to wipe it out, and the backlog was erased in 2002.

But after the funding dried up, the number of annual reviews performed by the agency decreased and the backlog grew. Last year, the agency conducted 443,000 continuing reviews.

President Barack Obama's proposed budget for next year includes $1.5 billion to address the backlog, a nearly 50 percent increase over present funding. With the increase, the agency says it would be able to conduct slightly more than 1 million reviews.

"We have completed every CDR funded by Congress, but our administrative budget has been significantly reduced, resulting in three straight years of funding levels nearly a billion dollars below the president's budget requests," Hinkle said. "As a result, we have lost more than 10,000 employees since the beginning of (fiscal year) 2011. We currently have a backlog of 1.3 million CDRs, which we would be able to address with adequate, dedicated program integrity funding from Congress."

Michael Lewis: 6 Things You Need to Know About Raising Capital for a Small Business

"Money makes the world go around, of that we can be sure," sang Alan Cummings in the popular stage play "Cabaret." Certainly, the half-million Americans starting new businesses in 2012 have reason to suspect the truth of those lyrics since raising capital, whether to fund a new technological marvel or open a franchised restaurant, is one of the most challenging aspects of starting a new business.

Unfortunately, the need for capital never ends. This means that understanding how to find and shake the "money tree" is critical. And before you begin your search, there are a number of crucial questions you must ask yourself - and answer.

Questions to Ask When Raising Business Capital


1. How Much Capital Do I Need?


Although many resources?provide information on starting a business with?no?or little money in the bank, remember that if something sounds too good to be true, it probably is. Don't be misled by the popular literature - having little or no capital is a primary reason why businesses fail.

"Bootstrapping a business when you're not drawing a salary and depleting whatever savings you have is one of the most difficult things to do," says Toby Stuart, professor at the Haas School of Business at the University of California, Berkeley. Even an independent cell phone app developer has to eat until the application has been designed, programmed, and marketed before any revenues begin. If your startup business requires even minimal outlays for offices, equipment, or employees, the amount of capital needed before opening your doors for business is likely to be significant.

Being Realistic
Entrepreneurs are often wild-eyed optimists, an often necessary attitude to get their ventures off the ground. But instead of a unique product, record sales, and slow competitors they usually envision, the real world is quite different.

The truth is that no new business succeeds without a?detailed and thorough business plan?that recognizes where you are today, where you want to be tomorrow, what problems might arise, and how you are going to resolve them. The value of a business plan is that you are forced to think about your potential business critically, challenge your assumptions, and?research when you're not sure of your facts. A complete plan identifies and quantifies the capital that is likely to be required to reach break-even and beyond. It is absolutely essential when soliciting investors.

While ?planning is often tedious and time consuming, executing a plan means several things:


  • You will get a better understand of your market and the competitors you will face

  • You may avoid costly disastrous mistakes in the future

  • You will have a realistic view of the capital needed to start your business and keep it alive until it can stand on its own


Furthermore, bankers and potential investors generally evaluate entrepreneurs and the potential of their ability to deliver success on the quality and completeness of their business plan.

Asking for Enough Money
The most egregious, indefensible mistake an entrepreneur can make when seeking capital is asking for too little to have a chance at success. Lacking sufficient capital in the beginning is akin to starting a long journey with empty pockets, a broken-down vehicle, and a half-tank of gas; the odds that you will reach your destination are slim to none.

When calculating the capital you need, plan that everything will take twice as long and cost twice as much as you expect. Figure that your worst-case scenario will occur, not your best-case. Don't assume instant profitability, a common mistake of many first-time entrepreneurs according to the National Federation of Business. And remember, if you don't raise enough capital initially to cushion your company if sales are slow or emergencies occur, it will be nearly impossible to raise more money just to keep the business going.

According to Canadian banker and blogger Roger Downie,?startup capital?should, at a minimum, cover all plant, equipment, and leasehold costs - plus at least six months' worth of projected operating costs, including the owner's salary. John Reddish, a management consultant who specializes in helping companies achieve high growth, says, "After developing personal and business budgets that can sustain the company for the time you think it'll take to break even, add at least 50%." Like intelligence and good looks, it is virtually impossible to have too much money.

2. How Do I Raise New Capital?


The most common source of startup capital is the business owner him- or herself in the form of credit card advances, home equity loans, and loans from family members. Federal and state governments sponsor numerous subsidized loans and grants for startups through the Small Business Administration and its counterparts on the state level.

When these sources are exhausted or unavailable for some reason, entrepreneurs usually seek capital from private sources such as commercial and investment banks, groups established by private investors to exploit such opportunities, wealthy individuals, and venture capital funds. Their proposed investment is usually styled in the form of debt, equity, or a combination of each:


  • Debt. The most common form of capital used by startups is debt, and it is secured by the assets of the company including the possible personal guarantee of the owners.?As time goes by, the company repays the principal with interest from cash flow. If the business fails, the lenders foreclose and liquidate the assets for repayment, possibly seeking any deficiency from the owners. Asset lenders are concerned with the market value of the assets, not the business enterprise, lending only a proportion of the asset's value to the company in order to ensure repayment. Lenders are not normally in the business of taking risks. While the interest rate on borrowed money may be high, using debt allows you to maintain 100% ownership.

  • Equity.?When utilizing equity, investors become owners of the business with the entrepreneur, the amount of ownership held by each is dependent upon a negotiation, which in turn is based upon the funds invested and the?agreed-upon value of the business (as it is at present, and as it may be in the future). Business valuation is an art, not a science; the conclusion is always subjective depending upon the perspective of the valuator. Entrepreneurs typically want as much money as possible for as little equity as acceptable; investors are the opposite, wanting as much equity as possible for as little money as possible. The final equity proportions and amount of money raised is generally a compromise based upon the eagerness of the investor to invest and the desperation of the entrepreneur looking for money.


Delaying capital infusions from non-affiliated third parties as long as possible (until you can prove the business concept and show revenues) is always the best approach. Investors typically require that entrepreneurs have "skin in the game" before being willing to invest their own money, and prefer you've made progress toward implementing your business plan as well.

3. What Is the Value of My Company?


The value of a company is important because it is the basis for determining the "cost" of the new capital when seeking equity additions to the capital structure. Simply explained, a company with a $1 million valuation and no debt seeking a new capital of $1 million would be worth $2 million after the investment. The old owners would own 50% of the new $2 million company (for their contribution of the old company with a $1 million value), while the new investors would also own 50% interest for their contribution of $1 million cash.

Generally, a valuation considers four questions:


  1. How much is the company worth today?

  2. How much could it be worth in the future?

  3. How long will it take to create the future value?

  4. What is the likelihood of achieving success?


There are a number of different methods used to value startup companies. Bill Payne, a prominent angel investor with the Angel Capital Association describes?four popular methods?to value pre-revenue companies, asserting that entrepreneurial projections are "too imprecise" and optimistic to be reliable. Professor Ian Giddy of New York University focuses on more?traditional methods of corporate valuation, while a popular YouTube video provides?business valuation 101?explanation. Prospective business owners seeking capital must understand the basic concepts of?discounted cash flow?and the use of?market multiples?before establishing or negotiating a value for their company.

Understanding how your company will be evaluated and being able to affect the valuation positively can enable you to get higher valuations and retain greater ownership of your company when the investment is funded.

4. Who Might Be Interested in Investing in My Company?


As the amount of funds needed increases, you will be required to access an increasingly sophisticated investor seeking maximum return for assuming the risk of a new venture. Family and friends are typically the first group sought by business owners seeking capital - they are less discriminating than professional investors, and are more likely to invest due to the relationship than the economics of the business proposal. On the other hand, family investors bring their own set of problems, including the possibility of strained relations if the investment fails.

In the December 2012 issue of?Inc.,?Ilya Pozin identifies and discusses a variety of funding options, in addition to self-funding, business incubators, and government grants.

VCs and Angels Funding Are Rare
While entrepreneurial magazines and websites promote the availability of angel investors and venture capital (VC) firms for capital, very few startup firms interest either type of investors or can survive the rigorous screening process. As a consequence, according to the Kauffman Foundation director of Private Equity and former venture capitalist Diane Mulcahy, VC is the exception, not the norm, for startups. Historically, less than 1% of U.S. companies have raised capital from VCs.

Women Business Owners Face Additional Difficulties
Women generally face more difficulties than men raising startup capital because, according to research by The Clayman Institute for Gender Research at Stanford University, they generally lack contacts within the "old boys' network" of funding sources. Furthermore, many professional investors have less confidence in women than men to penetrate their intended markets.

Internet sites such as WomanOwned.com, established in 1997, provide insights about fundraising, business management, and network assistance to more than 3.5 million women business owners around the world.

Crowdfunding May Be Considered
A new funding mechanism known as "crowdfunding" was created in the?Jumpstart Our Business Startups Act of 2012 (JOBS), allowing small companies to raise up $1 million from individuals over the Internet with annual income of less than $100,000 through a simplified registration procedure and limited financial information.

While the bill has attracted powerful critics worried about increased fraudulent transactions, most observers believe the Act will provide needed access to new funds for startup companies. Sites such as Kickstarter?and?gofundme?are allowing entrepreneurs to reach new money sources effectively and inexpensively.

5. What Are My Legal Responsibilities to Potential Investors?


Generally, business owners seeking funds from individual investors are required to provide forms and specific factual information in understandable language to potential investors so that they have the ability to evaluate the investment and determine whether it is right for them. Offerings and continued legal obligations of companies to their investor owner are regulated through the US?Securities Act of 1933?and the?Securities Exchange Act of 1934.

While JOBS is intended to simplify the procedures, making it easier for small firms to access the equity markets, compliance with the relevant regulations is required. Failure to do so subjects the issuers of securities to punitive civil and criminal acts. Seeking and paying for competent legal advice when soliciting, negotiating, or contracting with investors or lenders is mandatory for prudent business owners. While an attorney may not secure advantages for you on the upside, a lawyer's value in eliminating the possibilities of fraud charges, confusion about the agreements reached, or avoiding future legal problems is considerable.

6. How Do I Negotiate a Win-Win Agreement?


A funding event, whether for a startup or an ongoing operation, involves two parties: the investor and the company. In some cases, there is a single investor; in others, multiple investors. In the latter case, such as a crowdfunding event, the investors participate as a unit, each sharing a proportion of the same investment. In some cases, funding is take-it-or-leave-it; in others, there is intense negotiation. In each case, the parties strive to reach an agreement that accomplishes their respective goals.

Negotiations between investors and business owners involve, at minimum, the following factors:


  • The Amount of Capital Invested.?Funding may be a single amount or a combination of investments over a defined period.

  • The Timing of the Investment.?A specific sum is invested initially with future investments on specific future dates or when certain contingencies have been met.

  • The Return on Investment.?In debt, return, or from the company's perspective, "cost" may be expressed as interest with specific payment periods and principal amortization. In equity, return is the proportionate share of future earnings directed to the investor.

  • The Timing of the Return to the Investor.?Prospective payments in the future will be discounted to reflect the investor's opportunity costs and the risk-free return which he would have otherwise earned by forgoing the investment.

  • The Certainty of the Return.?Since the return on capital will be in the future, investors are naturally concerned about the likelihood the projected results becoming reality. This "risk" increase is directly proportional to the period between investment and projected return, the size of the return relative to the investment, and the reliability of the underlying financial and operating assumptions.

  • Control.?Who makes decisions when things don't go as planned? Investors usually require certain protections to minimize losses or to maximize gains when possible, including majority ownership of the company in the event of certain events. Business owners generally resist direct intervention into company operations, viewing it as a challenge to their authority and capabilities.


Negotiation is a skill that can be learned and practiced. However, learning at the table across from a seasoned professional is usually expensive. Seek advice and assistance before you make an agreement you will regret.

Final Thoughts


Many financing professionals claim that the rigorous, stressful process of raising capital for a new venture ensures that only the best companies (i.e., those most like to succeed) receive funding. Persistence - the willingness to learn from rejection without losing enthusiasm - is critical. Every idea, every company can be analyzed and deconstructed to the point it is unworkable. Jay Turo, founder of the advisory and investment banking firm?Growthink, properly advises entrepreneurs to "be irrational," and appeal emotionally rather than intellectually to potential investors.
